These Terms of Service (“Terms”) govern your access to and use of the website, products, and services (collectively, the “Services”) provided by Alphaeus Inc. (“Alphaeus,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@alphaeus.com of any unauthorized use.
3. Services
Alphaeus provides technology, cybersecurity, artificial intelligence, and managed-services offerings. The scope, deliverables, and fees for specific engagements are governed by separate Statements of Work, Master Services Agreements, or Order Forms (“Service Agreements”), which control in the event of a conflict with these Terms.
4. Acceptable Use
You agree not to: violate any law or third-party right; reverse engineer the Services; introduce malware; probe or test vulnerabilities without authorization; send spam, harass, or defraud; use automated means without consent; resell or sublicense without authorization; or misrepresent your identity.
5. Intellectual Property
All content on the Site and Services — text, graphics, logos, software, designs, and trademarks — is owned by Alphaeus or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. “Alphaeus” and the Alphaeus logo are trademarks of Alphaeus Inc.
6. User Content
If you submit content to us (feedback, suggestions, materials), you grant Alphaeus a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute such content for any purpose. You represent that you have all necessary rights to grant this license.
7. Third-Party Services
The Services may integrate with or link to third-party products. We do not control and are not responsible for third-party services.
8. Fees and Payment
Fees are described in the applicable Service Agreement. Unless stated otherwise: net 30 from invoice date; non-refundable; late payments accrue interest at 1.5% per month or the maximum allowed by law; you are responsible for applicable taxes (excluding our income taxes).
9. Confidentiality
Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own (and in no event less than reasonable care), and to use it solely for performance under these Terms.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. INFORMATION ON THE SITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, TAX, OR OTHER PROFESSIONAL ADVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAEUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Alphaeus from any claims arising from your use of the Services, violation of these Terms, or violation of third-party rights.
13. Termination
We may suspend or terminate access at any time, with or without notice. Sections 5, 6, 9–12, 14–16 survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Henrico County, Virginia.
Before filing any claim, you agree to contact us at legal@alphaeus.com and attempt informal resolution for at least 60 days.
15. Changes to These Terms
We may modify these Terms at any time by posting the revised version with a new “Last Updated” date. Continued use after changes constitutes acceptance.
16. Miscellaneous
These Terms, the Privacy Policy, and any Service Agreement constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce any right is not a waiver. You may not assign without our written consent.
